The fee(s) must be received prior to the start of any Maintenance Services. The client further agrees that, in the event of any termination of this agreement by client, no refunds shall be given under any circumstances whatsoever. The client further agrees to pay upon cancellation any other amounts due to ArteMedia for work provided at client\u2019s request above and beyond the monthly alotted time of monthly agreement.\u00a0<\/span><\/p>\n<p><span style=\"font-size: 10pt;\"><strong>Processing and Payment<\/strong><\/span><\/p>\n<p><span style=\"font-size: 10pt;\">ArteMedia will process your website maintenance subscription purchase as promptly as possible. Your first invoice must be settled before your subscription can be activated.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\">If your initial payment authorisation is revoked, your subscription will be terminated. We reserve the right to reject any subscription order at any time.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\">It is responsibility to provide valid payment details, and ensure that your payment details are up to date. If your credit or debit account details change, you must notify us of the changes. If your credit card expires or your payment method is otherwise invalid, your subscription may automatically be cancelled. All charges are non-refundable.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\"><strong>Pricing<\/strong><\/span><\/p>\n<p><span style=\"font-size: 10pt;\">When you purchase a website maintenance subscription, you agree to pay the price stated at the time of your order. You also agree to the billing frequency specified at the time of your order.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\">Any discount eligibility is determined at the time of order. Discounts cannot be applied retrospectively.\u00a0<\/span><\/p>\n<p><span style=\"font-size: 10pt;\">ArteMdia reserves the right to change the prices and fees at any time. We will provide you with 14 days' notice if the regular rate of a website maintenance subscription changes from what was stated at the time of your order.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\">Price changes will take effect from your next billing date after the notice period. If You do not wish to continue your Website Maintenance Subscription at the revised price, you may cancel your subscription before the end of your current direct debit pay cycle.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\"><strong>ArteMedia right to change website maintenance products<\/strong><\/span><\/p>\n<p><span style=\"font-size: 10pt;\">ArteMedia reserves the right to modify the content, inclusions, type and availability of any website maintenance product at any time. In the event your subscription package changes, you will be given 14 days notification prior to when you would need to make a decision to cancel and not be affected. Your package change will automatically take place from your next billing cycle.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\"><strong>Disclaimers<\/strong><\/span><\/p>\n<p><span style=\"font-size: 10pt;\">You agree that any errors made in entering your contact information and order details are your responsibility and ArteMedia is not liable for any consequences that may arise as a result of such errors or incorrect information, including but not limited to sending the subscription details to the email address as notified by you.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\">To the extent permitted by law, ArteMedia is not liable to you for any loss or damage incurred by you in connection with your subscription, whether direct, consequential, special, indirect or other loss or damage. In any event, ArteMedia's maximum liability to you is limited to the value of the subscription fees paid within the then current billing cycle.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\"><strong>Client Responsibilities<\/strong><\/span><\/p>\n<p><span style=\"font-size: 10pt;\">For the purposes of providing these services, Client agrees:<\/span><\/p>\n<ul>\n<li><span style=\"font-size: 10pt;\">To answer any questions from ArteMedia in regard to task work on website, promptly.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">To provide ArteMedia with access to its website for the purpose of providing Maintenance Services.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">To properly convey to ArteMedia the information about requested content updates.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">To provide ArteMedia access to their web hosting account, providing active user name \/ password combinations for access to the server via (S)FTP and Control Panel, assuring that correct permissions are in place on hosting provider.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-size: 10pt;\"><strong>Client Acknowledgements<\/strong><\/span><\/p>\n<p><span style=\"font-size: 10pt;\">Client understands, acknowledges and agrees that:<\/span><\/p>\n<ul>\n<li><span style=\"font-size: 10pt;\">Client understands that all work for monthly maintenance tasks will be scheduled according to ArteMedia\u2019 workflow. We have a process and maintain sites for many Clients, therefore all website updates work that counts towards your monthly time allowance is done on a first come first serve basis, except in the case of a total website down issue, which would be considered an \u201cemergency.\u201d<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Failure by Client to answer a question critical to the completion of a task within 5 business days may cause that task to be and moved to the \u201cend of the line\u201d in our work queue. Depending on the time of month, this could cause that task to roll over into the next month\u2019s bucket of update requests.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">The amount of time allocated for additional updates to text, images, and other minor changes, will be billed in fifteen (15) minute increments.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">All monthly updates are scheduled at our convenience and in accordance with our schedule. We have a process and a workflow that we use to maintain all of our Clients\u2019 websites in a fair and orderly fashion. The only exception being in the case of Client\u2019s website being totally offline or down for some reason, in which case their issue would be considered an \u2018emergency\u2019 and would take priority.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Client understands that if they provide ArteMedia with a maintenance task and the task has been completed, then they wish to make changes to the task, any additional time to make these changes will count towards the monthly allowance of time.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Additional website updates exclude, but are not limited to, image editing, graphic design, graphic editing, database design, database changes, programming, and search engine optimisation and digital marketing.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Website updates do not include website redesign, re-alignment or re-development equalling more than 50% change to web page, web graphics on the website (i.e. 4 graphics on website, and you want 3 changed, there is a charge for anything above 2, meaning 50%).<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">CMS design, integration of plugins that require intensive configuration, or programming of things that require extensive time to set up, including but not limited to blogs, shopping carts, API integrations with third party services, and web forums are not considered \u201cminor\u201d changes and therefore are not included in the standard Maintenance Agreement Plans. These require a separate design or development of a \u2018bespoke\u2019 agreement.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Maintenance Agreement does not include training on how to use your website, WordPress, or email, but we can provide training at additional cost.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Maintenance Agreement does not include training on search engine optimization (SEO) or other online digital marketing.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">All communications will be done during regular business hours, which are Monday through Friday from 9:00 AM to 5:00.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">If the Client\u2019s website is not hosted with ArteMedia we have no control over Client\u2019s hosting company in regard to server downtime, incompatibilities with software, PHP compatibility issues, etc.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">If the Client\u2019s email accounts are not hosted with ArteMedia we can\u2019t be responsible for Client\u2019s email issues or troubleshooting problems on their own computer. Our role is to maintain and keep your website running at its optimal capabilities. We are not your IT team.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">ArteMedia has no control over the policies of search engines or directories with respect to the type of sites and\/or content that they accept now or in the future. Client\u2019s web site(s) may be excluded from any search engine or directory at any time at the sole discretion of the search engine or directory entity.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">ArteMedia is not responsible for rewriting sentences, restructuring paragraphs, or checking for typing errors, misspellings, etc.ArteMedia is not responsible for changes made to Client\u2019s web site(s) by other\/third parties, including the Client themselves.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">During the duration of\u00a0 the service, the Client agrees that ArteMedia will be the sole provider of maintenance services for the website, and no other party will have access to or rights to change the web site\u2019s code. If a party, including the Client, other than ArteMedia makes changes to the web site\u2019s code, any errors that are created must be repaired and will be charged for at the hourly rate specified above.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">ArteMedia is not responsible for third-party plugins that may become unusable as a result of Maintenance Services performed.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">ArteMedia will not repair Client\u2019s website(s) that became compromised, hacked, or otherwise defaced or infected prior to ordering Maintenance Services.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">ArteMedia is not responsible for third-party plugins that may become unusable as a result of Maintenance Services performed.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">ArteMedia is not responsible for changes made to Client\u2019s web site(s) by other parties, including the Client themselves.<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">ArteMedia is not responsible for rewriting sentences, restructuring paragraphs, or checking for typing errors, misspellings, etc.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-size: 10pt;\"><strong>Client Representations \u2013\u00a0Client makes the following representations and warranties for the benefit of ArteMedia :<\/strong><\/span><\/p>\n<p><span style=\"font-size: 10pt;\">Client represents to ArteMedia and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to ArteMedia are owned by Client, or that Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend ArteMedia and its subcontractors from any claim or suit arising from the use of such elements furnished by Client.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\">Client guarantees to ArteMedia and unconditionally guarantees that Client\u2019s website has not been compromised, hacked, or otherwise defaced or infected prior to ordering Maintenance Services.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\">Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to ArteMedia for inclusion on the website above are owned by Client, or that Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend ArteMedia and its subcontractors from any liability or suit arising from the use of such elements.<\/span><\/p>\n<p><span style=\"font-size: 10pt;\"><strong>Maintenance Basic Plan Description<\/strong><\/span><\/p>\n<div style=\"text-align: left; line-height: 18px;\"><span style=\"font-size: 10pt;\">Team Allotted: Data Entry Expert, CMS Expert\u00a0<\/span><\/div>\n<ul>\n<li><span style=\"font-size: 10pt;\">Website Updates changes (1 Hour\/Month)<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Regular Back-ups<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">CMS &amp; Software Updates<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Plug-in Updates<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Security Patches Updates<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">Website Content Updates (Up to an Hour\/month)<\/span><\/li>\n<li><span style=\"font-size: 10pt;\">E-mail Support<\/span><\/li>\n<\/ul>\n<div style=\"text-align: left; line-height: 18px;\">\n<p><span style=\"font-size: 10pt;\"><strong>Maintenance Standar Plan <\/strong><strong>Description<\/strong><\/span><\/p>\n<\/div>\n<div style=\"text-align: left; line-height: 18px;\"><span style=\"font-size: 10pt;\">Team Allotted: Data Entry Expert, CMS Expert &amp; Designers.
